1Password Professional Services Addendum

Version 1.0 | Effective Date: November 2, 2026

Overview

This Professional Services Addendum (“Addendum”) is incorporated into and forms part of the agreement governing Customer’s subscription to 1Password’s Services, whether that is the Master Subscription Agreement, the Subscription Terms for Business Customers located at https://1password.com/legal/terms-of-service, or such other agreement in effect between 1Password and Customer (“MSA”). It governs the provision of Professional Services purchased by Customer under an Order Form or Statement of Work. Capitalized terms used but not defined in this Addendum have the meanings given to them in the MSA or the DPA.

This Addendum does not modify the terms applicable to the subscription Services, which remain governed by the MSA.

1. Definitions

The following terms have the meanings set out below. Terms defined in the MSA and used in this Addendum retain the meanings given to them in the MSA.

“Change Order” means a written document signed by both Parties that modifies the scope, fees, schedule, or Deliverables of a Service Package or Statement of Work.

“Kickoff Date” means the date on which the Professional Services engagement formally commences, as elected by Customer and notified to 1Password in writing. The timing of the Kickoff Date is at Customer’s election and does not affect payment obligations, which are governed by the applicable payment provisions of the MSA.

“Professional Service Fees” means the fees payable by Customer for Professional Services, as stated in the applicable Order Form.

"Purchase Date" means the effective date of the applicable Order Form.

"Purchased Hours" means the fixed number of hours purchased by Customer under a time-based package. Purchased Hours are not a recurring allocation, do not refresh or replenish, and may only be used for activities within the scope of the applicable Service Package description during the Purchased Hours Window.

"Purchased Hours Window" means, for a time-based advisory package, the 180-day period beginning on the Purchase Date, during which Purchased Hours may be scheduled and consumed. The Purchased Hours Window is not a Service Window but governs the availability of Professional Services for time-based advisory packages in lieu of the Service Window.

“Service Window” means the period within which Professional Services are expected to be scheduled, delivered, and completed, as described in the applicable Service Package or Statement of Work.

2. Delivery of Professional Services

2.1 Standard Service Packages. Where Customer purchases a Service Package, 1Password will provide the Professional Services described in the applicable Service Package identified in an Order Form. The Service Package description controls the scope, inclusions, exclusions, delivery format, Service Window, Customer prerequisites, and completion criteria for the purchased package. Services not expressly included in the applicable Service Package description are excluded. The version of the Service Package description in effect at the time of the Purchase Date governs the Professional Services purchased under that Order Form, regardless of any subsequent updates to the Service Package description. Where a Service Package is designated as a time-based advisory package, the Purchased Hours Window governs availability of services in lieu of the Service Window.

2.2 Custom Professional Services. Where Customer purchases Custom Services, 1Password will provide only the Professional Services expressly described in the applicable Statement of Work. The Statement of Work controls the scope, Deliverables, milestones, assumptions, customer dependencies, and acceptance criteria for the Custom Services engagement.

2.3 Delivery Timelines. Delivery timelines, milestone dates, and phase schedules described in a Service Package description or Statement of Work are indicative targets, not contractual service level guarantees. 1Password will use commercially reasonable efforts to meet the timelines described, subject to Customer’s fulfillment of its obligations under Section 3 and any prerequisites or dependencies identified in the applicable Service Package description or Statement of Work. 1Password’s failure to meet a specified timeline does not, by itself, constitute a breach of warranty or a material breach of this Addendum, provided 1Password is making commercially reasonable efforts to deliver.

2.4 Personnel. 1Password personnel performing Professional Services are employees of 1Password and are not employees, agents, or partners of Customer. Customer will not direct or control the methods or manner by which 1Password personnel perform Professional Services. Where 1Password personnel perform Professional Services at Customer’s facility, they will comply with Customer’s reasonable policies and procedures that have been communicated to 1Password in writing in advance, do not conflict with this Addendum, the MSA, any applicable Order Form or Statement of Work, and do not materially expand the scope of the Professional Services.

2.5 Personnel Assignment. 1Password will assign qualified personnel to deliver Professional Services for the applicable Service Package or Statement of Work. 1Password may reassign or substitute any personnel at its discretion. 1Password’s obligation is to deliver the applicable Professional Services to the standard described in the applicable Service Package description or Statement of Work; it is not an obligation to maintain any particular individual in any role throughout the engagement.

2.6 No Future Functionality. Customer’s purchase of Professional Services is not contingent upon the delivery of any future functionality or features of the Services, nor dependent upon any oral or written comments made by 1Password or materials provided by 1Password regarding future functionality or roadmap.

2.7 Relationship to Subscription Services. Professional Services are separate from the subscription Services. The purchase of Professional Services does not include any subscription entitlement beyond what is separately purchased under an Order Form. The subscription Services are governed by the MSA and are not modified by this Addendum. Professional Services are conditional on Customer maintaining an active subscription to 1Password Services. If Customer’s subscription is suspended or terminated during an active Professional Services engagement, 1Password may suspend delivery of the applicable Professional Services. If the subscription is not restored within thirty (30) days of 1Password's written notice of suspension of Professional Services delivery under this Section, 1Password may terminate the applicable Order Form, in which case the termination consequences in Section 12.3(c) and (d) apply as if Customer had materially breached this Addendum.

2.8 Affiliate Orders. Customer may allow its Affiliates to receive Professional Services under Customer’s Order Form, provided such services are solely for Customer’s or Customer’s Affiliates’ benefit. Any Affiliate may separately purchase Professional Services from 1Password by executing an Order Form with 1Password that references this Addendum, thereby creating a separate agreement between the Affiliate and 1Password, with the Affiliate treated as “Customer”. For clarification, Customer or Customer Affiliates have no rights under other Customer Affiliates’ agreement(s) and any breach or termination of such agreement(s) is not a breach or termination under any other agreement between a 1Password entity and another Customer entity.

3. Customer Obligations

3.1 General Obligations. Customer’s cooperation is essential to 1Password’s ability to deliver Professional Services. Customer will:

(a) designate a named internal project contact with authority to make decisions and provide approvals in a timely manner;

(b) provide 1Password with timely access to Customer’s systems, personnel, credentials, and information as reasonably required for delivery;

(c) ensure that required Customer personnel attend scheduled sessions and are prepared to participate;

(d) respond to 1Password’s requests for information, approvals, and decisions within a commercially reasonable time;

(e) obtain any third-party consents, licenses, or approvals required for 1Password to access Customer’s environment or systems;

(f) ensure its personnel comply with Customer’s obligations under this Addendum;

(g) ensure that it has all rights, licenses, consents, permissions, and authority necessary to provide 1Password with any materials, data, and content provided by Customer to 1Password for use in delivering the Professional Services (collectively, “Customer Materials”), Customer Data, access, and instructions required to perform the Professional Services; and

(h) promptly notify 1Password in writing of any material changes to Customer's key personnel, business priorities, or internal timelines that may affect 1Password's ability to deliver the Professional Services as scheduled.

3.2 Customer Systems and Data. Customer is responsible for:

(a) its third-party systems, integrations, platforms, network infrastructure, and software;

(b) production readiness, including backups of its data and systems before and during the Professional Services engagement;

(c) maintaining and operating any configuration or implementation delivered as part of the Professional Services after completion; and

(d) any issues arising from Customer-directed configuration choices or from Customer’s failure to follow 1Password’s written recommendations.

4. Service Window, Scheduling, and Expiry

4.1 Service Window. The applicable Service Window is described in the applicable Service Package or Statement of Work, except that time-based advisory packages are governed by the Purchased Hours Window as defined in Section 1 and Section 2.1. Sections 4.1 through 4.7 apply to time-based advisory packages, with all references to 'Service Window' construed as references to 'Purchased Hours Window.'

4.2 Scheduling and Sessions. Customer is responsible for scheduling sessions and activities within the Service Window in a timely manner. Sessions are not available on public holidays observed by 1Password or during company-wide non-working days. All Professional Services sessions are delivered remotely via video conference in English, unless otherwise agreed in writing by both Parties. Where recording is specified as a Deliverable in the applicable Service Package description or Statement of Work, Customer confirms it has obtained all required consents from its personnel participating in sessions.

4.3 Session Cancellation and Non-Attendance. Where the applicable Service Package description or Statement of Work specifies a fixed number of sessions, Customer must provide at least five (5) business days’ written notice to cancel or reschedule any scheduled session. Sessions cancelled with less than the required notice or sessions not attended by Customer without prior notice, will be counted as delivered and deducted from the total number of sessions specified in the applicable Service Package or Statement of Work. For time-based advisory packages, sessions cancelled with less than five (5) business days' notice, or sessions not attended by Customer without prior notice, will be deducted from the Purchased Hours balance. 1Password will use commercially reasonable efforts to offer an alternative time where session capacity and the remaining Service Window permit, but is not obligated to do so. Where 1Password cancels or reschedules a scheduled session, 1Password will use commercially reasonable efforts to provide Customer with at least five (5) business days' written notice. Where 1Password cancels with less than five (5) business days' notice for reasons other than force majeure events under the MSA, the session will not be counted as delivered, and 1Password will offer at least one alternative time within the remaining Service Window. If no alternative time is available within the remaining Service Window due solely to 1Password's scheduling constraints, the Service Window will be extended by a reasonable period to accommodate the rescheduled session at no additional charge to Customer.

4.4 Customer-Caused Delays. Delays caused by Customer’s failure to cooperate, provide access, provide required information, or schedule sessions within the Service Window will not extend the Service Window. 1Password will not be responsible for Professional Services that cannot be completed within the Service Window due to Customer’s failure to fulfill its obligations under Section 3. No refund or credit will apply to the unused portion of the Professional Services in such circumstances. In addition, 1Password may charge Customer for commercially reasonable costs incurred as a result of such delays at 1Password’s then-current rates for Professional Services. Where 1Password becomes aware of circumstances that are likely to materially affect the delivery schedule, 1Password will notify Customer in writing promptly and provide a summary of the anticipated impact and proposed mitigation steps.

4.5 Expiry and No Rollover. Professional Services expire at the end of the applicable Service Window. Unused Professional Services do not roll over, carry forward, convert to credits, or entitle Customer to a refund, except where Customer’s inability to use them results directly from 1Password’s material breach of this Addendum or the applicable Order Form. For time-based advisory packages, unused Purchased Hours expire at the end of the Purchased Hours Window and do not roll over, convert to credits, or remain available after that date.

4.6 Extensions. 1Password may, at its sole discretion, grant a written extension to the Service Window. Any extension that involves additional fees, a change to Deliverables, or a material change to scope must be documented in a Change Order under Section 5.1. Section 5.1 does not apply to extensions granted under Section 4.7.

4.7 Force Majeure Extensions. Where a force majeure event under the MSA prevents or materially delays delivery within the Service Window, 1Password will extend the Service Window by a period equal to the period during which the force majeure event prevents or materially delays delivery of the applicable Professional Services. Neither Party will be liable for any additional fees or penalties arising solely from a delay caused by such a force majeure event.

5. Change Control

5.1 Change Orders. Any change to the scope, Deliverables, schedule, fees, or other material terms described in the applicable Service Package description or Statement of Work requires a Change Order signed by both Parties before implementation, except for Service Window extensions granted under Section 4.6 or arising automatically under Section 4.7.

5.2 Additional Work. Work outside the scope of the applicable Service Package or Custom Services engagement requires a new Order Form or Change Order. Customer’s request for additional work does not automatically extend the Service Window or create any obligation for 1Password to perform such work.

5.3 Purchase Orders. Any pre-printed terms on a Customer purchase order or similar document will have no force or effect and will not modify the scope, fees, or terms of this Addendum, the applicable Service Package description, or Statement of Work.

6. Fees and Payment

6.1 Fees. Professional Service Fees are as stated in the applicable Order Form. Payment terms are governed by the applicable payment provisions of the MSA unless otherwise specified in the Order Form.

6.2 One-Time Fees. Professional Service Fees are one-time fees and are not recurring charges. They are not subject to automatic renewal, Authorized User overage calculations, or subscription pricing mechanics.

6.3 Non-Refundable Fees. Unless otherwise stated in the applicable Order Form or as provided in this Addendum, Professional Service Fees are non-refundable. Payment is due in accordance with the payment terms in the applicable payment provisions of the MSA and is not contingent on the scheduling or occurrence of the Kickoff Date. If Professional Services are not initiated due solely to 1Password’s failure to make its implementation team available within a commercially reasonable period following Customer’s written notification of the Kickoff Date, Customer may request a reschedule of the Professional Services. If Customer has not elected and notified 1Password of a Kickoff Date within six (6) months of the Purchase Date, 1Password may, upon thirty (30) days' written notice to Customer, treat the Professional Services as lapsed and no refund will apply to Professional Service Fees paid. For time-based advisory packages, the Purchased Hours Window begins on the Purchase Date.

6.4 Expenses. Customer will reimburse 1Password for expenses pre-approved in writing and incurred in connection with the delivery of Professional Services.

6.5 Overages. If Customer requests Professional Services beyond the scope of the applicable Service Package or Statement of Work and 1Password agrees to perform such additional Professional Services, Customer may be charged at 1Password’s then-current rates for Professional Services. Any such additional Professional Services must be documented in a Change Order or new Order Form prior to performance.

6.6 Suspension for Non-Payment. 1Password may suspend delivery of Professional Services if 1Password determines that Customer’s account is overdue by fifteen (15) days or more, without limiting 1Password’s rights and remedies. Where possible, 1Password will use commercially reasonable efforts to provide Customer with advance notice and an opportunity to remedy such payment default prior to any suspension. 1Password is not obligated to compensate any loss suffered by Customer as the result of the suspension where such suspension was made in good faith in accordance with this Section.

7. Intellectual Property and Deliverables

7.1 1Password IP. 1Password retains all right, title, and interest in and to: (a) its pre-existing tools, methods, templates, frameworks, processes, and know-how existing prior to the Purchase Date; and (b) any improvements, learnings, methodologies, or capabilities developed by 1Password in the course of delivering Professional Services. Nothing in this Addendum restricts 1Password from using knowledge, skills, experience, ideas, concepts, know-how, and techniques acquired by 1Password’s personnel during the course of performing Professional Services, provided such use does not use or disclose Customer’s Confidential Information or Customer Materials. Nothing in this Addendum or any Order Form transfers ownership of 1Password IP to Customer.

7.2 Deliverables License. To the extent that a Deliverable is expressly identified in the applicable Service Package description or Statement of Work as a Deliverable to be provided to Customer, 1Password grants Customer a limited, non-exclusive, non-transferable (except in connection with a permitted assignment under the MSA), royalty-free license to use such Deliverable for Customer’s internal business purposes upon payment in full of all applicable Professional Service Fees. This license does not include any right to sublicense, resell, or otherwise make the Deliverable available to third parties, except that Customer may make Deliverables available to its Authorized Users solely for Customer’s internal business purposes. The license granted in this Section 7.2 survives termination or expiration of this Addendum with respect to Deliverables for which all applicable Professional Service Fees have been paid in full.

7.3 Customer Materials. Customer retains all right, title, and interest in and to Customer Materials. Customer grants 1Password a limited, non-exclusive license to use Customer Materials solely as necessary to deliver the applicable Professional Services.

7.4 Feedback. If Customer provides feedback, suggestions, or recommendations regarding the Professional Services (“Professional Service Feedback”), Customer grants 1Password a royalty-free, worldwide, transferable, sublicensable, irrevocable, and perpetual license to use or incorporate such Professional Service Feedback into its products and services for any purpose, provided that 1Password does not identify Customer as the source of the Professional Service Feedback without Customer’s consent.

8. Data Access and Security

8.1 Data Processing. To the extent that 1Password processes Customer Personal Data (as defined in the DPA) while delivering Professional Services, the DPA applies. The DPA governs 1Password’s data protection obligations with respect to such processing. This Addendum does not modify the DPA. To the extent that 1Password’s personnel access Customer Personal Data stored within Customer’s 1Password environment in the course of delivering Professional Services, Customer grants 1Password a limited, non-exclusive license to access such Customer Personal Data solely as necessary to deliver the applicable Professional Services.

8.2 Access Controls. 1Password personnel will access Customer’s systems and environments only through named, least-privilege, time-limited accounts approved and provisioned by Customer. 1Password will not request or retain access beyond what is reasonably necessary to deliver the Professional Services. Customer is responsible for revoking access upon completion or termination of the engagement.

8.3 Credential Handling. 1Password personnel will not request, store, or transmit Customer’s master passwords, shared administrative credentials, personal account credentials, recovery codes, or similar secrets except as strictly required and expressly authorized by Customer in writing. Where access to sensitive credentials is required, Customer will provision time-limited, scoped credentials and revoke them promptly after use.

8.4 Approved Tools. Remote access and screen sharing during Professional Services engagements will be conducted using commercially reasonable tools.

8.5 Data Handling. 1Password personnel will not use Customer Data, screenshots, exports, recordings, or project artifacts for any purpose other than delivering the applicable Professional Services.

8.6 Data Deletion and Retrieval. During the performance of the Professional Services and for 30 days following the completion or termination, Customer may request the return or retrieval of Customer Data provided to 1Password for the Professional Services, to the extent that such Customer Data remains in 1Password’s control and is reasonably capable of being returned. Following the expiration of that period, 1Password may delete Customer Data maintained specifically for the Professional Services in accordance with its standard data retention and deletion practices, unless applicable law requires a longer retention period. 1Password will have no obligation to retain Customer Data following the applicable retention period.

8.7 Confidentiality of PS Information. Each Party agrees to keep confidential any non-public information received from the other Party in connection with the delivery of Professional Services that is designated as confidential or that should reasonably be understood to be confidential given its nature and the circumstances of disclosure ("PS Confidential Information"). Neither Party will disclose PS Confidential Information to any third party without the disclosing Party's prior written consent, and each Party will use PS Confidential Information only for the purposes of this Addendum. Each Party will protect PS Confidential Information using at least the same care it uses to protect its own confidential information of a similar nature, but no less than reasonable care. This obligation does not apply to information that: (a) is or becomes publicly available without breach of this Addendum; (b) was already known to the receiving Party at the time of disclosure; (c) is independently developed by the receiving Party without use of PS Confidential Information; or (d) is required to be disclosed by applicable law or court order, provided the receiving Party gives prompt prior written notice to the disclosing Party where legally permitted. The obligations in this Section 8.7 apply to the extent not otherwise covered by confidentiality obligations in the MSA.

9. Warranties

9.1 Professional Services Warranty. 1Password warrants that Professional Services will be performed in a professional and workmanlike manner and materially in accordance with the applicable Service Package description or Statement of Work.

This warranty does not cover:

(a) outcomes, results, or business goals not expressly guaranteed to in the applicable Service Package description or Statement of Work;

(b) Customer-controlled systems, third-party integrations, or Customer’s ongoing operation of any configuration or implementation following completion;

(c) configuration choices made at Customer’s express direction contrary to 1Password’s written recommendation; or

(d) issues caused by Customer’s material failure to fulfill its obligations under Section 3.

9.2 Warranty Remedy. As Customer’s sole and exclusive remedy and 1Password’s entire liability for any breach of the warranty in Section 9.1, 1Password will, at its option: (a) promptly re-perform the non-conforming Professional Services at no additional charge; or (b) refund the Professional Service Fees paid for the non-conforming portion. Customer must notify 1Password in writing of any warranty claim no later than thirty (30) days after the end of the applicable Service Window or, for time-based advisory packages, the end of the Purchased Hours Window. 1Password will have a commercially reasonable opportunity to investigate and remediate before the refund remedy applies.

9.3 Warranty Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 9.1, 1PASSWORD MAKES NO WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE WITH RESPECT TO PROFESSIONAL SERVICES OR DELIVERABLES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 9.1, 1PASSWORD DOES NOT WARRANT THAT PROFESSIONAL SERVICES WILL BE ERROR-FREE OR FREE FROM DELAY, OR THAT ANY DELIVERABLE WILL MEET CUSTOMER’S REQUIREMENTS BEYOND WHAT IS EXPRESSLY DESCRIBED IN THE APPLICABLE SERVICE PACKAGE DESCRIPTION OR STATEMENT OF WORK.

10. Indemnification

10.1 1Password Indemnification. Subject to Section 10.3, 1Password will defend and indemnify Customer against any third-party claim alleging that a Deliverable expressly identified in the applicable Statement of Work or Service Package description to be provided to Customer infringes or misappropriates any patent, copyright, trademark, or trade secret of a third party (each a “Professional Services Infringement Claim”), and will pay any resulting damages finally awarded by a court or agreed in a settlement approved by 1Password.

If a Professional Services Infringement Claim is made or appears likely, 1Password may, at its option: (a) modify the affected materials or Deliverable to make them non-infringing; (b) procure a license enabling Customer’s continued use; or (c) terminate the affected portion of the applicable Order Form and refund any pre-paid Professional Service Fees allocable to the affected materials or Deliverable.

1Password’s obligations under this Section 10.1 do not apply where the Professional Services Infringement Claim arises from: (x) Customer’s modification of a Deliverable or materials without 1Password’s prior written approval; (y) Customer’s use of a Deliverable or materials in combination with systems not provided or approved by 1Password; or (z) Customer’s failure to implement updates recommended by 1Password to avoid the infringement.

10.2 Customer Indemnification. Subject to Section 10.3, Customer will defend and indemnify 1Password against any third-party claim arising from: (a) Customer Materials or Customer Data accessed or processed by 1Password in the course of delivering Professional Services; (b) Customer’s third-party systems or integrations; or (c) configuration choices or other instructions or specifications made at Customer’s direction.

10.3 Indemnification Procedure. The indemnified Party must: (a) promptly notify the indemnifying Party in writing of any claim for which indemnification is sought; (b) give the indemnifying Party sole control over the defense and settlement of such claim; and (c) provide commercially reasonable cooperation and assistance at the indemnifying Party’s expense. The indemnified Party may participate in the defense with counsel of its own choosing at its own expense.

11. Limitation of Liability

11.1 Liability. The limitations on liability and exclusions of consequential damages set forth in the MSA apply to Professional Services. Professional Service Fees paid or payable by Customer under the applicable Order Form are included in the calculation of the Cap.

12. Term and Termination

12.1 Term. This Addendum remains in effect for as long as Professional Services are being provided under an active Order Form. Termination of this Addendum does not terminate the MSA or any subscription Order Form.

12.2 Termination. The termination provisions of the MSA apply to Professional Services.

12.3 Effect of Termination. Upon termination of Professional Services: (a) 1Password will cease delivery; (b) if Customer terminates for cause due to 1Password’s uncured material breach, Customer will receive a pro rata refund of any pre-paid Professional Service Fees for the undelivered portion; (c) if 1Password terminates for cause due to Customer’s uncured material breach, all Professional Service Fees stated in the applicable Order Form that remain outstanding are due and payable in full; and (d) 1Password will deliver to Customer any Deliverables completed as of the termination date. Where Customer terminates for cause under Section 12.3(b), completed Deliverables will be delivered without any additional payment condition. Where 1Password terminates for cause under Section 12.3(c), delivery of completed Deliverables is conditioned on Customer's payment in full of all Professional Service Fees that remain outstanding under the applicable Order Form.

12.4 Survival. Any provision of this Addendum that by its nature or express terms should survive termination or expiration will survive, including without limitation Sections 7 (Intellectual Property and Deliverables), 8.5 (Data Handling), 8.7 (PS Confidentiality), 9.1 (Professional Services Warranty), 9.2 (Warranty Remedy), 9.3 (Warranty Disclaimer), 10 (Indemnification), 11 (Limitation of Liability), 12.3 (Effect of Termination), and 13 (General).

13. General

13.1 Relationship to MSA. This Addendum is incorporated into and supplements the MSA.

13.2 Order of Precedence. The following order of precedence applies to conflicts between documents governing a Professional Services engagement, and supplements the order of precedence in the MSA for Professional Services matters: (1) the DPA controls data protection matters; (2) the Statement of Work controls Custom Services scope, Deliverables, and project-specific terms; (3) the Order Form controls Professional Service Fees, SKU, and customer-specific commercial terms; (4) the applicable Service Package description controls Standard Service Package scope, inclusions, exclusions, Service Window, Purchased Hours Window, Customer prerequisites, and completion criteria; (5) this Addendum controls all other Professional Services matters; (6) the MSA controls for all other matters.

13.3 Updates. 1Password may update this Addendum from time to time. The version of this Addendum in effect at the time of an Order Form’s execution governs the Professional Services purchased under that Order Form.

13.4 Severability. If any provision of this Addendum is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law. If modification is not possible, the provision will be severed and the remaining provisions of this Addendum will continue in full force and effect.

13.5 Entire Agreement. This Addendum, together with the MSA, the DPA, the applicable Order Form, and the applicable Service Package description and/or Statement of Work, constitutes the entire agreement between the Parties with respect to the Professional Services.
