API and SDK Terms of Service
Terms governing access to 1Password Developer Tools Last updated: May 5, 2026
PLEASE READ THESE API AND SDK TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE ACCESSING OR USING ANY 1PASSWORD DEVELOPER TOOLS. BY ACCESSING OR USING THE 1PASSWORD APIS, SDKS, OR OTHER DEVELOPER TOOLS, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. YOUR USE OF THE DEVELOPER TOOLS IS ALSO SUBJECT TO THE 1PASSWORD TERMS OF SERVICE, AVAILABLE AT HTTPS://1PASSWORD.COM/LEGAL/TERMS-OF-SERVICE. IN THE EVENT OF ANY CONFLICT BETWEEN THESE TERMS AND THE 1PASSWORD TERMS OF SERVICE WITH RESPECT TO YOUR USE OF THE DEVELOPER TOOLS, THESE TERMS SHALL GOVERN. IF YOU DO NOT AGREE TO THESE TERMS OR THE 1PASSWORD TERMS OF SERVICE, DO NOT ACCESS OR USE THE DEVELOPER TOOLS.
1. Definitions
“1Password” means AgileBits Inc. dba 1Password, a corporation incorporated under the laws of Ontario, with its principal place of business at 4711 Yonge Street, 10th Floor, Toronto, Ontario, M2N 6K8, Canada.
“1Password Terms of Service” means the 1Password Terms of Service available at https://1password.com/legal/terms-of-service, as updated from time to time.
“API” means any application programming interface made available by 1Password, including but not limited to the 1Password Events API, the 1Password Partnership API, and any other APIs accessible through developer.1password.com or otherwise made available by 1Password in connection with the Developer Tools.
“Application” or “App” means any software application, website, tool, service, integration, or product that you develop using the Developer Tools.
“Confidential Information” has the meaning set forth in Section 8.
“Developer Tools” means, collectively, the APIs, SDKs, CLI tools, sample code, command-line tools, developer documentation, reference implementations, and any other software, materials, or services made available by 1Password to developers, including through developer.1password.com.
“Documentation” means any technical documentation, specifications, guidelines, and policies made available by 1Password in connection with the Developer Tools.
“1Password Data” means any data, content, or information accessed, retrieved, or obtained through or in connection with use of the Developer Tools, including but not limited to vault data, item data, event data, audit logs, user account information, and any other data related to 1Password accounts or services.
“SDK” means any software development kit made available by 1Password, including the 1Password Go, JavaScript, and Python SDKs, and any other SDKs made available by 1Password from time to time.
“Services” means the 1Password subscription services, products, and platform operated by 1Password, as further described at 1password.com.
“You” or “Developer” means the individual, company, or legal entity accessing or using the Developer Tools. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and “you” refers to that entity.
2. License Grant
2.1 Limited License
Subject to your full compliance with these Terms at all times, and conditioned upon your continued compliance, 1Password grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to:
(a) access and use the APIs solely to develop, test, and operate Applications that integrate with the 1Password Services, in accordance with these Terms and the Documentation; and
(b) incorporate and distribute the SDK, in object code form only, as part of an Application, solely on an integrated (not standalone) basis, and solely to the extent necessary to enable your Application to communicate with the 1Password Services.
2.2 Scope of License
The license granted in Section 2.1 is strictly limited to the purposes described herein. No other rights are granted, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved by 1Password.
2.3 Revocation
1Password reserves the right, in its sole and absolute discretion, to suspend, limit, or revoke the license granted under these Terms at any time, with or without notice, including if your Application exceeds any usage limitations we establish, if you violate any provision of these Terms, or for any other reason. 1Password shall have no liability to you in connection with any such revocation.
2.4 No Implied Licenses
Nothing in these Terms grants you any rights to 1Password’s intellectual property, trademarks, patents, trade secrets, or other proprietary rights except as expressly set forth in these Terms. No license is granted by implication, estoppel, or otherwise.
3. Registration and Access Credentials
3.1 Account Registration
Access to certain Developer Tools may require you to register for a developer account or 1Password account. You agree to provide accurate, complete, and up-to-date information and to maintain the accuracy of such information at all times. 1Password may refuse to grant, or may revoke, developer access in its sole discretion.
3.2 Access Credentials
1Password may issue you access credentials, including API keys, service account tokens, bearer tokens, passwords, and other authentication materials (“Access Credentials”). You agree to:
(a) maintain the confidentiality and security of your Access Credentials using at least the same degree of care you use to protect your own most sensitive confidential information, and in no event less than reasonable care;
(b) not share, transfer, sell, sublicense, or disclose your Access Credentials to any third party, except to your employees or contractors who have a need to know for purposes of developing your Application and who are bound by confidentiality obligations at least as protective as those herein;
(c) not embed Access Credentials in open source projects, publicly accessible code repositories, or any other publicly visible location;
(d) use a separate set of Access Credentials for each separate Application; and
(e) immediately notify 1Password at [email protected] if you become aware that any Access Credentials have been compromised, stolen, or disclosed to unauthorized parties.
3.3 Responsibility for Access
You are solely and fully responsible for all activities that occur under your account or using your Access Credentials, whether authorized by you or not. 1Password shall have no liability arising from unauthorized use of your Access Credentials.
4. Restrictions and Prohibited Uses
4.1 General Restrictions
You shall not, and shall not permit any third party to:
(a) use the Developer Tools in any manner that violates these Terms, the Documentation, or any applicable laws or regulations;
(b) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to the source code, underlying algorithms, trade secrets, or know-how of any component of the Developer Tools or the 1Password Services, except and solely to the limited extent expressly required by applicable law, notwithstanding this restriction;
(c) modify, create derivative works of, copy, reproduce, or otherwise use the Developer Tools except as expressly permitted under these Terms;
(d) sublicense, sell, resell, transfer, assign, rent, lease, loan, distribute, or otherwise make the Developer Tools available to any third party;
(e) use the Developer Tools to build, operate, or offer any product or service that competes directly or indirectly with 1Password or the Services, or that replicates a substantial portion of the functionality of the Services;
(f) introduce, transmit, or upload any viruses, worms, Trojan horses, malware, ransomware, spyware, or any other malicious or harmful code into the Developer Tools, the Services, or any systems of 1Password;
(g) interfere with, disrupt, damage, impair, or gain unauthorized access to the Developer Tools, the Services, 1Password’s infrastructure, or any third-party systems or networks connected to the Developer Tools;
(h) use the Developer Tools to circumvent, disable, or impair any security feature, access control, encryption, or technical protection measure of the Services or any 1Password system;
(i) use the Developer Tools to access or process 1Password Data in excess of what is strictly necessary for the intended functionality of your Application, or beyond the permissions expressly granted by users or as authorized by these Terms;
(j) scrape, bulk-download, aggregate, mine, or create databases or persistent archives of 1Password Data, except as strictly necessary for the limited functionality of your authorized Application;
(k) use 1Password Data for advertising, marketing, or profiling purposes, or disclose or transfer 1Password Data to any ad network, data broker, or similar third party;
(l) use the Developer Tools or 1Password Data to train, fine-tune, or otherwise develop any machine learning or artificial intelligence model, including large language models;
(m) use the Developer Tools to perform penetration testing, security testing, vulnerability scanning, benchmarking, or load testing of 1Password’s systems, except pursuant to a separate written agreement with 1Password expressly authorizing such activities;
(n) exceed any rate limits, usage quotas, or other restrictions that 1Password establishes and communicates to you from time to time, in 1Password’s sole discretion;
(o) attempt to circumvent any usage limitations, rate limits, or access controls that 1Password has implemented;
(p) use the Developer Tools in any manner that could impose an unreasonable or disproportionately large load on 1Password’s infrastructure;
(q) remove, obscure, or alter any copyright notices, trademark notices, or other proprietary rights notices incorporated in or accompanying the Developer Tools; or
(r) use the Developer Tools for any unlawful purpose, including without limitation violation of any applicable privacy, data protection, anti-money laundering, export control, or sanctions laws.
4.2 Credential and Security Restrictions
Given the sensitive nature of credentials and security data managed by the Services, you additionally agree not to:
(a) store, log, or persist any 1Password user passwords, Secret Keys, master passwords, or other primary authentication credentials outside of 1Password’s encrypted storage systems;
(b) use the Developer Tools in a manner that would expose user credentials, vault items, or other sensitive 1Password Data to unauthorized parties;
(c) design or operate your Application in a manner that could mislead users about the security model of the Services or create a false impression regarding the security of their credentials; or
(d) use the Developer Tools to facilitate unauthorized access to user accounts, vaults, or items.
4.3 Usage Limitations
1Password may, in its sole discretion, establish and modify usage limitations, rate limits, and access tiers for the Developer Tools at any time. You agree to comply with all such limitations. 1Password may use technical measures to enforce usage limitations, including throttling, suspension, or blocking of requests that exceed applicable limits.
5. Application Requirements
5.1 Application Standards
You represent, warrant, and covenant that your Application:
(a) will comply with all applicable laws and regulations, including all applicable privacy, data protection, consumer protection, export control, and sanctions laws;
(b) will not misrepresent its functionality, purpose, or relationship to 1Password;
(c) will not deceive, mislead, defraud, or harm users;
(d) will clearly and accurately describe to users any data collected or processed through the Application and any interaction with 1Password;
(e) will not impersonate 1Password, claim to be an official 1Password product, or otherwise suggest affiliation with, endorsement by, or sponsorship by 1Password unless 1Password has provided prior written consent;
(f) will include a clear and compliant privacy policy that accurately describes your data collection, use, and sharing practices; and
(g) will maintain commercially reasonable security measures appropriate to the sensitivity of the data processed.
5.2 End User Terms
If your Application is offered to end users, you must maintain enforceable terms of service and a privacy policy for your Application that include, at minimum, the following:
(a) a disclaimer that 1Password makes no warranties with respect to your Application and is not responsible for your Application’s functionality, content, or support;
(b) restrictions on reverse engineering, decompiling, or disassembling the 1Password components incorporated in your Application;
(c) a statement that 1Password is not a party to the agreement between you and your end users and has no obligation to your end users; and
(d) liability limitations that are no less protective of 1Password than those in Section 10 of these Terms.
5.3 Compatibility
Your Application must maintain compatibility with the current versions of the Developer Tools. 1Password may release updated versions of the Developer Tools at any time, and you are responsible for updating your Application to maintain compatibility. You agree not to modify, extend, subset, or superset the APIs or SDKs in any manner not expressly authorized by the Documentation.
5.4 Security Incident Notification
You must promptly notify 1Password at [email protected], and in any event within 24 hours, upon becoming aware of: (a) any security incident or data breach affecting 1Password Data or systems accessed through the Developer Tools; (b) any vulnerability in your Application that could affect the security of the Services or 1Password Data; or (c) any unauthorized access to or use of your Access Credentials or your Application. You will cooperate fully with 1Password in investigating and remediating any such incident.
6. Intellectual Property
6.1 Ownership
As between you and 1Password, all right, title, and interest in and to the Developer Tools, the Services, and all intellectual property rights therein, are and will remain the sole and exclusive property of 1Password and its licensors. Nothing in these Terms transfers any ownership of any 1Password intellectual property to you.
6.2 Your Application
Subject to 1Password’s rights in the Developer Tools and in any 1Password components incorporated therein, you retain ownership of the original components of your Application that you create independently of 1Password’s intellectual property.
6.3 Feedback
If you provide any feedback, suggestions, ideas, enhancement requests, recommendations, bug reports, or other input to 1Password regarding the Developer Tools, the Services, or any related 1Password products or services (collectively, “Feedback”), you hereby assign to 1Password all right, title, and interest in and to such Feedback, including all intellectual property rights therein. 1Password may use, incorporate, and commercialize any Feedback for any purpose without any obligation, restriction, or compensation to you. You represent and warrant that any Feedback you provide is not subject to any third-party rights or restrictions that would limit 1Password’s use thereof.
6.4 License to Improvements
To the extent you create any improvement, modification, or extension of the Developer Tools or any component thereof, you hereby grant to 1Password a nonexclusive, sublicensable, fully paid-up, perpetual, irrevocable, worldwide license to fully exercise and exploit all intellectual property rights in such improvements, modifications, or extensions for any purpose.
6.5 Usage Data
1Password may collect and analyze data and information relating to the access, use, and performance of the Developer Tools and related systems, including usage statistics, error logs, and performance data. 1Password may freely use such data to improve and develop the Developer Tools and the Services, and may disclose such data in aggregate or de-identified form.
7. Trademark and Brand Usage
7.1 Limited Trademark License
Subject to these Terms, 1Password grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the 1Password name and logo (“1Password Marks”) solely to accurately identify your Application as integrating with 1Password, in strict accordance with 1Password’s then-current Media Kit and Brand Guidelines, available at 1Password’s Legal Center. You agree to review and comply with those guidelines before any use of the 1Password Marks, and to update your usage promptly upon any revision to those guidelines.
7.2 Restrictions on Brand Use
You shall not:
(a) use the 1Password Marks in a manner that suggests your Application is created, supported, certified, endorsed, or sponsored by 1Password, unless you have received 1Password’s prior written approval;
(b) use the 1Password Marks in your company name, product name, domain name, or social media handle without 1Password’s prior written consent;
(c) use any name, logo, or mark that is confusingly similar to any 1Password Mark;
(d) contest or assist others in contesting the validity, enforceability, or ownership of any 1Password Mark; or
(e) take any action that could damage, dilute, tarnish, or impair the 1Password Marks or brand.
7.3 Goodwill
All goodwill arising from your use of the 1Password Marks shall inure exclusively to the benefit of 1Password.
7.4 Your Marks
You grant to 1Password a non-exclusive, royalty-free, worldwide license to use your company name and logo for the purpose of identifying you as a developer using the Developer Tools, including in marketing materials, case studies, developer showcases, and on 1Password’s website. You may revoke this license upon written notice to 1Password.
8. Confidentiality
8.1 Confidential Information
“Confidential Information” means any non-public information disclosed by 1Password to you in connection with the Developer Tools, including but not limited to: unreleased API documentation, product roadmaps, technical specifications, security information, pricing, business plans, and any information marked or designated as “confidential,” “proprietary,” or similar, or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.
8.2 Obligations
You agree to: (a) hold 1Password’s Confidential Information in strict confidence; (b) use 1Password’s Confidential Information only as necessary to exercise your rights under these Terms; (c) not disclose 1Password’s Confidential Information to any third party without 1Password’s prior written consent, except to your employees and contractors who have a need to know for purposes of developing your Application and who are bound by confidentiality obligations at least as protective as those herein; and (d) protect 1Password’s Confidential Information using at least the same degree of care you use to protect your own most sensitive confidential information, and in no event less than reasonable care.
8.3 Exceptions
The obligations in Section 8.2 do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was rightfully known to you prior to disclosure without restriction; (c) is rightfully received by you from a third party without restriction; (d) is independently developed by you without use of or reference to 1Password’s Confidential Information; or (e) is required to be disclosed by law or court order, provided that you give 1Password reasonable prior written notice (to the extent permitted by law) to allow 1Password to seek a protective order or other appropriate relief.
8.4 Survival
Your confidentiality obligations under this Section 8 will survive for three (3) years following the expiration or termination of these Terms, and will survive indefinitely with respect to any 1Password trade secrets.
9. Data Protection and Privacy
9.1 Compliance
You shall at all times comply with all applicable data protection and privacy laws and regulations with respect to any personal data or user data processed through or in connection with your use of the Developer Tools, including but not limited to the General Data Protection Regulation (“GDPR”), the UK GDPR, the Personal Information Protection and Electronic Documents Act (“PIPEDA”), the California Consumer Privacy Act (“CCPA”), and any other applicable data protection laws.
9.2 Data Minimization
You shall only access, collect, use, and retain 1Password Data and user data to the minimum extent strictly necessary for the authorized functionality of your Application. You shall not retain 1Password Data or user data for longer than is necessary for the stated purposes.
9.3 Privacy Policy
If your Application processes personal data of end users, you must maintain and prominently display a privacy policy that clearly and accurately describes your data collection, use, storage, and sharing practices.
9.4 Data Deletion
Upon termination or expiration of these Terms, or upon request by 1Password or an applicable user, you shall promptly delete all 1Password Data in your possession or control, and provide written certification of such deletion upon request.
9.5 Independent Controllers
To the extent that either party processes personal data in connection with these Terms, each party shall do so as an independent data controller, and not as a data processor on behalf of the other. Nothing in these Terms creates a processor-subprocessor relationship between the parties.
10. Disclaimer of Warranties
THE DEVELOPER TOOLS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1PASSWORD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, RELIABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
1PASSWORD DOES NOT WARRANT THAT: (A) THE DEVELOPER TOOLS WILL MEET YOUR REQUIREMENTS; (B) THE DEVELOPER TOOLS WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DATA OBTAINED THROUGH THE DEVELOPER TOOLS WILL BE ACCURATE, COMPLETE, OR RELIABLE; (D) ANY DEFECTS IN THE DEVELOPER TOOLS WILL BE CORRECTED; OR (E) THE DEVELOPER TOOLS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
You acknowledge that your use of the Developer Tools is at your sole risk.
11. Limitation of Liability
11.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1PASSWORD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; (C) BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITIES; OR (D) COST OF SUBSTITUTE GOODS OR SERVICES; HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF 1PASSWORD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1PASSWORD’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE DEVELOPER TOOLS, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM, SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
11.3 Essential Basis
You acknowledge that the limitations of liability in this Section 11 are a fundamental element of the basis of the bargain between you and 1Password. 1Password would not provide the Developer Tools absent these limitations, and these limitations shall apply even if any limited remedy set forth in these Terms fails of its essential purpose.
11.4 No Injunctive Relief
You shall not seek or be entitled to injunctive or other equitable relief, or to enjoin or restrain the operation of the Developer Tools, the Services, or any 1Password systems.
12. Indemnification
12.1 Developer’s Indemnification Obligations
You agree to defend, indemnify, and hold harmless 1Password and its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and successors (collectively, “1Password Indemnified Parties”) from and against any and all claims, demands, lawsuits, actions, proceedings, losses, damages (whether direct, indirect, incidental, special, consequential, exemplary, or punitive), liabilities, costs, and expenses (including reasonable legal fees and disbursements) (“Losses”) arising out of or relating to:
(a) your development, distribution, operation, or use of the Developer Tools or your Application;
(b) your violation of these Terms or any applicable laws or regulations;
(c) your Application’s processing or handling of user data, credentials, or other sensitive information;
(d) any actual or alleged infringement or misappropriation of any third-party intellectual property right by your Application or your use of the Developer Tools;
(e) any actual or alleged data breach, security incident, or unauthorized access arising from your Application or your systems;
(f) any claim by your end users arising from or relating to your Application; or
(g) any misrepresentation made by you to users, third parties, or 1Password.
For greater certainty, this indemnification obligation extends to direct damages actually suffered by 1Password, including but not limited to costs of remediation, customer compensation, regulatory fines, reputational harm, and any out-of-pocket expenses incurred by 1Password as a result of your acts or omissions.
12.2 Procedure
1Password will: (a) provide you with prompt written notice of any Losses for which it seeks indemnification (provided that failure to provide timely notice shall not release you of your indemnification obligations except to the extent you are materially prejudiced thereby); (b) grant you reasonable cooperation in the defense of such Losses at your expense; and (c) allow you to assume control of the defense and settlement of any claim, subject to 1Password’s right to participate with counsel of its own choosing at its own expense. You shall not settle any claim in a manner that imposes any obligation, restriction, or liability on 1Password, or that includes any admission of wrongdoing by or on behalf of 1Password, without 1Password’s prior written consent.
13. Term and Termination
13.1 Term
These Terms are effective upon your first access to or use of the Developer Tools and will remain in effect until terminated as set forth herein.
13.2 Termination by You
You may terminate these Terms at any time by discontinuing all use of the Developer Tools and providing written notice to 1Password at [email protected].
13.3 Termination by 1Password
1Password may, in its sole and absolute discretion and without any liability to you, immediately terminate these Terms, your access to the Developer Tools, or your Access Credentials, at any time, with or without cause, with or without notice, for any reason or no reason whatsoever. Without limiting the foregoing, termination may occur if:
(a) you breach any provision of these Terms;
(b) 1Password determines, in its sole judgment, that your Application poses a risk of harm to users, 1Password, the Services, or any third party;
(c) you become insolvent, make an assignment for the benefit of creditors, or become subject to any bankruptcy, insolvency, or reorganization proceeding;
(d) continued access would expose 1Password to legal, regulatory, or reputational risk; or
(e) 1Password decides, in its sole discretion, to discontinue the Developer Tools or any portion thereof.
The examples above are illustrative only and do not limit 1Password’s right to terminate for any other reason or for no reason at all.
13.4 Effect of Termination
Upon termination or expiration of these Terms for any reason:
(a) all licenses granted to you hereunder shall immediately terminate;
(b) you shall immediately cease all use of the Developer Tools and destroy or return all copies of any 1Password materials in your possession;
(c) you shall promptly delete all 1Password Confidential Information and 1Password Data in your possession or control and provide written certification thereof upon request; and
(d) all provisions that by their nature should survive termination shall survive, including Sections 1, 4, 6, 7.3, 8, 9.4, 10, 11, 12, 13.4, and 14.
14. General Provisions
14.1 Governing Law
These Terms and any disputes arising out of or related to them shall be governed exclusively by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to any conflicts of law principles. The federal and provincial courts located in Toronto, Ontario shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these Terms, and each party hereby consents to the exclusive jurisdiction and venue of such courts.
14.2 Dispute Resolution
All disputes and questions arising between 1Password and you in connection with these Terms shall be resolved by arbitration. Such arbitration shall be conducted by a single arbitrator in the City of Toronto, Province of Ontario, in accordance with the Arbitration Act, 1991 (Ontario). The decision of the arbitrator shall be final and binding, and no appeal shall lie therefrom. Nothing in this section shall prevent 1Password from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
14.3 Modifications
1Password reserves the right, in its sole discretion, to modify these Terms at any time. 1Password will use reasonable efforts to provide notice of material changes, which may be accomplished by posting updated Terms to developer.1password.com or by sending notice to the email address associated with your developer account. Your continued use of the Developer Tools after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to stop using the Developer Tools.
14.4 Modifications to Developer Tools
1Password reserves the right to modify, update, discontinue, or limit access to the Developer Tools, or any features, functions, or APIs thereof, at any time and for any reason, with or without notice. 1Password shall have no liability to you for any modification, suspension, or discontinuation of the Developer Tools. You are responsible for monitoring 1Password’s developer documentation and changelogs for updates.
14.5 Assignment
You may not assign, transfer, sublicense, or delegate any of your rights or obligations under these Terms without 1Password’s prior written consent. Any purported assignment or transfer in violation of this Section shall be null and void. 1Password may freely assign, transfer, or delegate these Terms and any rights or obligations hereunder, in whole or in part, without your consent or prior notice, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
14.6 Relationship of the Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties.
14.7 No Third-Party Beneficiaries
Except as expressly set forth in these Terms, there are no third-party beneficiaries to these Terms.
14.8 Waiver
No failure or delay by 1Password in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No waiver shall be effective unless made in writing and signed by an authorized representative of 1Password.
14.9 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
14.10 Export Compliance
You agree to comply with all applicable export and import laws and regulations of Canada, the United States, and any other applicable jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to embargo or trade sanctions, and that you are not identified on any list of prohibited or restricted parties.
14.11 Entire Agreement
These Terms, together with the 1Password Terms of Service and any additional terms applicable to specific Developer Tools (including any terms referenced in the Documentation), constitute the entire agreement between you and 1Password with respect to the Developer Tools and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof. In the event of any conflict between these Terms and any additional terms, these Terms shall govern unless the additional terms expressly state otherwise.
14.12 Language
The parties have agreed that these Terms and any related documents be drafted in English. Les parties conviennent que les présentes conditions et tout document connexe soient rédigés en anglais.

14.14 Relationship to 1Password Terms of Service
Your access to and use of the Developer Tools is subject to, and you agree to comply with, the 1Password Terms of Service, which are incorporated herein by reference. In the event of any conflict or inconsistency between these Terms and the 1Password Terms of Service with respect to your access to or use of the Developer Tools, APIs, or SDKs, these Terms shall govern and take precedence to the extent of such conflict or inconsistency. In all other respects, the 1Password Terms of Service shall continue to apply in full.
