Beta Terms of Service
Terms governing access to 1Password Beta Services Last updated: June 16, 2026
PLEASE READ THESE BETA TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE ACCESSING OR USING ANY 1PASSWORD BETA SERVICES. BY ACCESSING OR USING THE BETA SERVICES, YOU AGREE, ON BEHALF OF THE ORGANIZATION, ENTITY, OR OTHER LEGAL PERSON YOU REPRESENT (THE “PARTICIPANT”), TO BE LEGALLY BOUND BY THESE TERMS. YOUR ACCESS TO AND USE OF THE BETA SERVICES IS ALSO SUBJECT TO THE GOVERNING AGREEMENT, AS DEFINED BELOW. IN THE EVENT OF ANY CONFLICT BETWEEN THESE TERMS AND THE GOVERNING AGREEMENT WITH RESPECT TO YOUR USE OF THE BETA SERVICES, THESE TERMS SHALL GOVERN. IF YOU DO NOT AGREE TO THESE TERMS OR THE GOVERNING AGREEMENT, DO NOT ACCESS OR USE THE BETA SERVICES.
These Terms are entered into between the Participant and AgileBits Inc. dba 1Password, with its principal place of business at 4711 Yonge Street, 10th Floor, Toronto, Ontario, M2N 6K8 (“1Password”). Participant and 1Password may each be referred to individually as a “Party” and collectively as the “Parties.”
1. Definitions
“Beta Service(s)” means any service, product, or feature that is designated as “alpha,” “beta,” “non-production,” “preview,” or similarly identified by 1Password and provided prior to general commercial release.
“Effective Date” means the date the Participant first accesses the Beta Services.
“Governing Agreement” means either (i) the Service Agreement, if one exists between the Parties; or (ii) if no Service Agreement exists, the 1Password Business Terms of Service located at https://1password.com/legal/terms-of-service, as updated from time to time.
“Participant” has the meaning set forth in the preamble to these Terms.
“Service Agreement” means a written agreement executed between the Parties governing the provision of 1Password services.
“System Logs and Diagnostic Data” has the meaning set forth in Section 5.2.
“Term” means the period from the Effective Date until termination of these Terms as set forth in Section 9.
“User” means Participant’s employees, contractors, or other individuals who are permitted by Participant to access and use the Beta Services under Participant’s 1Password account.
2. Governing Terms
These Terms are governed by and subject to the Governing Agreement. In the event of any conflict between these Terms and the Governing Agreement, these Terms shall control with respect to the Beta Services.
3. Beta Services
Beta Services are provided at no additional charge, are intended for evaluation and testing purposes only, and are not intended for production use. Beta Services are not designed or intended to process sensitive, personal, or production data, and Participant assumes all risk for any such use. Beta Services may be subject to additional terms and may be modified or discontinued at any time.
Notwithstanding the foregoing, Participant acknowledges and agrees that 1Password may, upon general commercial release of a Beta Service, require Participant to purchase a paid subscription or enter into a new agreement for continued access to and use of such service. Access to Beta Services at no charge under these Terms shall not entitle Participant to free or discounted access once the service becomes generally available.
4. Access and Use
4.1 License Grant
Subject to the terms of these Terms, 1Password grants Participant a limited, non-exclusive, non-transferable, non-sublicensable right during the Term to access and use the Beta Services solely for internal testing and evaluation purposes.
4.2 Restrictions
Participant shall not, and shall not permit any User or third party to:
(a) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Beta Services;
(b) benchmark, publish, or disclose performance results or evaluations of the Beta Services without 1Password’s prior written consent; or
(c) disclose any information about the Beta Services to any third party, except as expressly permitted under these Terms.
4.3 Modifications and Suspension
1Password may modify, suspend, or terminate the Beta Services at any time and for any reason, with or without notice, and without any liability to Participant.
4.4 Account Merging
Participant acknowledges and agrees that 1Password may merge Participant’s Beta Services account with Participant’s existing 1Password account(s).
5. Use of Data
5.1 User Compliance
Participant agrees to comply with all applicable laws and regulations, including all privacy and data protection requirements, in connection with the use of the Beta Services by Participant and its Users. Participant represents and warrants that it has provided adequate notice of these Terms to its Users, has obtained and will maintain all necessary consents and authorizations from them, and is expressly authorized to provide consent on their behalf with respect to the collection, use, processing, disclosure, and transfer of data as described herein.
5.2 System Logs and Diagnostic Data
In connection with the Beta Services, 1Password may automatically and/or manually collect, access, and process product usage, technical, and diagnostic information relating to the performance, use, and operation of the Beta Services, including system logs, crash reports, error messages, performance metrics, device and application configuration details, and similar diagnostic files (“System Logs and Diagnostic Data”). Such information may incidentally include personal data, such as account names, email addresses, or device identifiers.
By participating in the Beta Services, Participant expressly consents, and confirms that it is authorized to consent on behalf of its Users, to 1Password’s collection, use, processing, storage, disclosure, and cross-border transfer of System Logs and Diagnostic Data for a broad range of business, operational, analytical, and product-related purposes. These purposes may include, without limitation:
(a) enabling, supporting, and improving the performance, use, and operation of the Beta Services and other 1Password services; (b) analyzing, testing, and developing products and features; (c) monitoring and ensuring the security, reliability, and integrity of 1Password’s services; and (d) conducting business operations, planning, and related analytics.
1Password shall have sole discretion regarding the retention, deletion, or further processing of any System Logs and Diagnostic Data, and 1Password is not obligated to return or delete such information except as required under applicable law. Providing additional manually generated diagnostic files is voluntary; however, if Participant or its Users choose to submit such files, Participant consents, and is authorized to consent on behalf of its Users, to 1Password’s use of those files for the purposes described above.
5.3 Participant Responsibilities
Participant shall be solely responsible for obtaining and maintaining all necessary rights and consents from its Users. Participant agrees to indemnify, defend, and hold harmless 1Password, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to Participant’s failure to obtain or maintain such consents.
For clarity, Participant acknowledges and agrees that System Logs and Diagnostic Data are not considered confidential information under these Terms, and 1Password may use such data as expressly permitted herein without restriction, subject only to applicable law and 1Password’s Privacy Notice. Except as described in this Section 5, all information will otherwise be handled in accordance with 1Password’s Privacy Notice, available at https://www.1password.com/legal/privacy.
6. Disclaimer of Warranties
BETA SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1PASSWORD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, RELIABILITY, SECURITY, AVAILABILITY, PERFORMANCE, INTEROPERABILITY, INTEGRATION, ACCURACY, OR COMPLETENESS.
1PASSWORD DOES NOT WARRANT THAT THE BETA SERVICES WILL: (A) MEET PARTICIPANT’S REQUIREMENTS; (B) BE COMPATIBLE WITH ANY SYSTEMS, HARDWARE, OR SOFTWARE; (C) BE FREE FROM HARMFUL CODE, DOWNTIME, OR DATA LOSS; OR (D) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY 1PASSWORD, ITS AFFILIATES, OR THEIR REPRESENTATIVES WILL CREATE ANY WARRANTY.
Participant acknowledges that its use of the Beta Services is at its sole risk.
7. No Support or SLA
1Password has no obligation to provide support, maintenance, service level commitments, or data retention for Beta Services. 1Password may, in its sole discretion, choose to provide limited support or assistance, but doing so shall not create any ongoing obligation.
8. Limitation of Liability
8.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1PASSWORD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; (C) BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITIES; OR (D) COST OF SUBSTITUTE GOODS OR SERVICES; HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF 1PASSWORD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1PASSWORD’S TOTAL AGGREGATE LIABILITY TO PARTICIPANT FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR PARTICIPANT’S USE OF THE BETA SERVICES, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).
8.3 Essential Basis
Participant acknowledges that the limitations of liability in this Section 8 are a fundamental element of the basis of the bargain between Participant and 1Password. 1Password would not provide the Beta Services absent these limitations, and these limitations shall apply even if any limited remedy set forth in these Terms fails of its essential purpose.
9. Term and Termination
9.1 Term
These Terms are effective as of the Effective Date and will remain in effect until terminated as set forth herein.
9.2 Termination
These Terms may be terminated:
(a) by either Party upon thirty (30) days’ written notice to the other Party; or
(b) immediately upon the announced conclusion or discontinuation of the Beta Services by 1Password.
1Password may also, in its sole and absolute discretion and without any liability to Participant, immediately terminate these Terms or Participant’s access to the Beta Services at any time, with or without cause, with or without notice.
9.3 Effect of Termination
Upon termination or expiration of these Terms for any reason, Participant shall immediately cease all use of the Beta Services and delete any related materials in its possession or control. All provisions that by their nature should survive termination shall survive, including Sections 1, 5, 6, 7, 8, and 9.3.
